Oxvyn AI provides custom AI assistant and voice agent solutions for local businesses. Our Services include, but are not limited to, AI-powered chatbots, voice receptionists, appointment booking systems, and lead capture automation. The specific features and functionality of your AI solution will be determined during the onboarding process and outlined in your service agreement.
3. Eligibility
You must be at least 18 years of age and have the legal authority to enter into a binding agreement to use our Services. By using our Services, you represent and warrant that you meet these requirements. If you are using our Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these terms.
4. User Responsibilities
You are responsible for providing accurate and complete information when using our Services. You agree not to: • Use our Services for any unlawful purpose or in violation of any applicable laws • Attempt to gain unauthorized access to our systems, networks, or data • Interfere with or disrupt the integrity or performance of our Services • Reverse engineer, decompile, or disassemble any aspect of our technology • Use our Services to transmit harmful, threatening, abusive, or otherwise objectionable content • Resell, redistribute, or sublicense our Services without prior written consent
5. Intellectual Property
All content, features, and functionality of the Oxvyn AI website and Services — including but not limited to text, graphics, logos, icons, software, and underlying technology — are the exclusive property of Oxvyn AI and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without our express written permission. Any AI assistants or voice agents built for your business are licensed for your use under the terms of your service agreement. The underlying technology, frameworks, and systems remain the property of Oxvyn AI.
6. Payment Terms
Fees for our Services are outlined in your individual service agreement. Unless otherwise specified, all fees are quoted in US dollars and are non-refundable. We reserve the right to change our pricing at any time, though changes will not affect existing agreements during their current term. Late payments may result in suspension or termination of Services.
7. Service Level and Availability
We strive to maintain high availability of our Services but do not guarantee uninterrupted or error-free operation. We may temporarily suspend access to our Services for maintenance, updates, or other operational reasons. We will make reasonable efforts to provide advance notice of planned downtime. We are not liable for any damages resulting from service interruptions or downtime.
8. Limitation of Liability
To the maximum extent permitted by law, Oxvyn AI and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of our Services. Our total liability for any claims arising from or related to these terms or our Services shall not exceed the total amount you paid to Oxvyn AI in the twelve (12) months preceding the claim.
9. Disclaimer of Warranties
Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our Services will meet your specific requirements, that results obtained from using our Services will be accurate or reliable, or that any errors in our Services will be corrected.
10. Termination
Either party may terminate the service relationship in accordance with the terms of the individual service agreement. We reserve the right to suspend or terminate your access to our Services immediately, without prior notice, if you violate these Terms of Service or engage in conduct that we determine, in our sole discretion, to be harmful to our business, other users, or third parties. Upon termination, your right to use our Services will immediately cease. Any provisions of these terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, and limitations of liability.
11. Indemnification
You agree to indemnify, defend, and hold harmless Oxvyn AI and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of our Services, your violation of these terms, or your violation of any rights of a third party.
12. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these terms or our Services shall be resolved through binding arbitration or in the courts of competent jurisdiction.
